These Terms of Service (“Terms”) govern your access to and use of vigoremd.com (the “Site”) and the services offered by VigoréMD, operated by Vigore MD LLC (“VigoréMD,” “we,” “our,” or “us”). By accessing or using our Site or services, you agree to be bound by these Terms.

1. About Our Services

VigoréMD is a telehealth platform that connects patients with licensed healthcare providers for the evaluation, prescription, and management of medically supervised weight-loss treatments. We are not a medical practice; we facilitate access to independent licensed clinicians who provide medical care, and to a licensed U.S. compounding pharmacy partner that fulfills prescriptions.

2. Eligibility

To use our services, you must:

• Be at least 18 years of age.
• Be a resident of the United States in a state where our services are available.
• Provide accurate, complete, and current information during intake and at all times.
• Have the legal capacity to enter into a binding contract.

3. Medical Disclaimer

The information provided on our Site is for general informational purposes only and is not intended as medical advice. Treatment decisions are made by your licensed clinician based on your individual medical evaluation. VigoréMD does not guarantee any particular medical outcome, weight loss result, or treatment approval.

If you are experiencing a medical emergency, call 911 or go to the nearest emergency room. Do not use our Site or services for emergency medical needs.

4. Account Registration

To access certain features, you must create an account and provide accurate information. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us immediately of any unauthorized access at hello@vigoremd.com.

5. Subscription Services and Billing

VigoréMD offers subscription-based services. By enrolling, you authorize us to charge your payment method on a recurring basis according to your selected plan. Subscriptions automatically renew until cancelled.

• Cancellation: You may cancel at any time through your patient portal or by contacting hello@vigoremd.com. Cancellations take effect at the end of the current billing cycle.
• Refunds: Due to the nature of personalized medical treatment and shipped medications, refunds are limited and evaluated on a case-by-case basis. See your patient agreement for specific refund terms.
• Price changes: We may update pricing with at least 30 days' notice. Continued use constitutes acceptance.

6. Prescription Medications

Prescription medications are issued only after a licensed clinician evaluates your medical history and determines treatment is appropriate. Medications are dispensed by our licensed U.S. compounding pharmacy partner. You are responsible for following all dosing instructions, storage requirements, and safety guidelines provided by your clinician and the pharmacy.

7. Communications

By providing your contact information, you agree to receive communications from us, including:

• Transactional messages regarding your account, treatment, and orders (you cannot opt out while your account is active).
• SMS messages per our SMS Terms (you may opt out at any time by replying STOP).
• Marketing emails (you may unsubscribe at any time).

8. Intellectual Property

All content on the Site, including text, graphics, logos, images, and software, is the property of VigoréMD or our licensors and is protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, distribute, or create derivative works without our prior written consent.

9. Prohibited Conduct

You agree not to:

• Provide false or misleading information.
• Use the Site or services for any unlawful purpose.
• Attempt to access our systems or other users' information without authorization.
• Resell, divert, or share prescription medications.
• Interfere with the operation of our Site or services.

10. Disclaimers

OUR SITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, VIGOREMD AND ITS AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF OUR SERVICES, REGARDLESS OF THE LEGAL THEORY ON WHICH THE CLAIM IS BASED.

12. Indemnification

You agree to indemnify and hold harmless VigoréMD, its affiliates, and their respective officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of our services or violation of these Terms.

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any disputes will be resolved through binding arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, in Broward County, Florida. You waive any right to participate in a class action lawsuit or class-wide arbitration.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be posted on this page with a revised effective date. Your continued use of our services after changes are posted constitutes acceptance of the updated Terms.
